Agreement to our legal terms

We are W-Pine AI ("Company," "we," "us," "our"). We operate the website wpineai.com and the related products and services (collectively, the "Services"). The Services include an AI agent that generates Pine Script v6 strategies and indicators, finance research and sentiment analysis, exclusive invite-only TradingView indicators, and end-to-end trader support.

These Terms constitute a legally binding agreement between you (whether personally or on behalf of an entity) and W-Pine AI. By accessing or using the Services, you confirm that you have read, understood, and agree to be bound by all of these Terms. If you do not agree, you may not use the Services and must stop accessing them immediately.

Supplemental terms posted on the Services from time to time are expressly incorporated by reference. We may revise these Terms at our discretion; the "Last updated" date at the top reflects the current version. Your continued use of the Services after changes are posted constitutes acceptance of the revised Terms.

The Services are intended for users 18 years and older. Persons under 18 are not permitted to register or use the Services.

1. Our Services

The Services are not intended for distribution to or use by any person or entity in any jurisdiction or country where such use would be contrary to law or regulation, or where it would subject us to any registration requirement. Those who choose to access the Services from other locations do so on their own initiative and are solely responsible for compliance with local laws.

The Services are not tailored for industry-specific regulations (HIPAA, FISMA, GLBA, etc.). If your interactions are subject to such laws, you may not use the Services.

Trading risk disclaimer: Information generated by the AI agent — including Pine Scripts, market commentary, sentiment analysis, and chart reads — is for informational and educational purposes only. It is not investment advice, a recommendation to buy or sell any financial instrument, or a guarantee of trading performance. Past performance does not predict future results. Always backtest before deploying capital and consult a licensed financial advisor for personalized guidance.

2. Intellectual Property Rights

Our intellectual property

We are the owner or licensee of all intellectual property rights in the Services, including source code, databases, functionality, software, website design, audio, video, text, photographs, and graphics (collectively, "Content"), as well as the trademarks, service marks, and logos contained therein (the "Marks").

Our Content and Marks are protected by copyright and trademark laws and treaties around the world.

Your use of our Services

Subject to compliance with these Terms (including the "Prohibited Activities" section), we grant you a non-exclusive, non-transferable, revocable license to access the Services and to download or print a copy of any portion of the Content to which you have properly gained access — solely for your personal, non-commercial use or internal business purpose.

Except as stated above, no part of the Services and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise commercially exploited without our express prior written permission. Pine Scripts that the AI generates for you are licensed to you for your personal trading and educational use; commercial resale of generated scripts as the primary product of a competing service is prohibited.

Your submissions and contributions

Submissions. Any feedback, suggestion, or improvement idea you send us about the Services becomes our property and may be used without compensation to you.

Contributions. If you post chat messages, support tickets, ratings, or other content visible to us or the community, you grant us an unrestricted, perpetual, royalty-free, worldwide license to use, store, reproduce, distribute, and display that content as needed to operate and improve the Services.

You confirm your contributions: are original to you (or you have rights to share them); are not illegal, defamatory, harassing, or infringing; do not violate any third-party rights or applicable law. We may remove or edit Contributions at any time, in our sole discretion.

3. User Representations

By using the Services you represent and warrant that: (1) all registration information you submit is true, accurate, current, and complete; (2) you will keep that information up to date; (3) you have legal capacity to agree to these Terms; (4) you are not a minor in your jurisdiction (and at least 18 years old); (5) you will not access the Services through automated or non-human means; (6) you will not use the Services for any illegal or unauthorized purpose; and (7) your use will not violate any applicable law or regulation.

If you provide false or incomplete information, we may suspend or terminate your account.

4. User Registration

You are required to register to use the paid Services. You agree to keep your password confidential and accept responsibility for any activity under your account. We reserve the right to remove, reclaim, or change a username we determine, in our sole discretion, is inappropriate, obscene, or otherwise objectionable.

5. Purchases and Payment

We accept the following payment methods, processed by Stripe: Visa, Mastercard, American Express, Discover, Apple Pay, Google Pay, and any additional methods Stripe enables in your jurisdiction.

You agree to provide current, complete, and accurate purchase and account information for all purchases. You agree to promptly update payment information if it changes. Sales tax will be added where required by law. We may change prices at any time. All payments are in U.S. dollars.

You authorize us (via Stripe) to charge your payment method for all amounts due, including subscription renewals. We reserve the right to correct any pricing errors and to refuse or cancel orders in our sole discretion (for example, orders that appear placed by dealers, resellers, or distributors, or that violate these Terms).

6. Subscriptions

Billing and renewal

Paid subscriptions automatically renew at the end of each billing cycle (monthly or yearly, depending on the plan you chose) at the then-current price. By subscribing, you authorize recurring charges to your payment method until you cancel. You will receive an email receipt for each successful charge.

Cancellation

You may cancel your subscription at any time via Settings → Manage subscription, which opens the Stripe Billing Portal. Cancellation takes effect at the end of your current paid term — you retain access until then.

Refund Policy — All Sales Final

ALL PAYMENTS TO W-PINE AI ARE STRICTLY NON-REFUNDABLE. By completing any purchase on the platform — including monthly subscriptions, yearly subscriptions, and one-time HFM upgrade purchases (Basic $200, Advanced $500, Unlimited $1,000) — you expressly acknowledge and agree that the payment is final and non-refundable.

This applies regardless of:

• Whether you actually use the service or features after paying;
• How soon after purchase you change your mind;
• Whether you cancel mid-cycle (you keep access until the end of the paid period — no partial refund is issued for unused time);
• Any subsequent change to your HFM account status, your trading account, or your personal circumstances;
• Whether you encountered technical issues that we have already addressed or are working to address.

You may cancel future subscription renewals at any time via Settings → Subscription → Cancel subscription. Cancellation stops the next charge and ends access at the close of your current paid period. Cancellation does not generate a refund — partial, pro-rated, or otherwise.

We do not issue refunds, partial refunds, pro-rated refunds, store credit, account credits, exchanges, or transfers under any circumstances. This is the complete and exclusive remedy. By using the platform you confirm you have read and accept this no-refund policy.

Free Lifetime tier (HF Markets verified) involves no payment to W-Pine AI. Any refund recourse for your HF Markets deposit is governed entirely by HF Markets' own policy and is between you and HF Markets.

Plan switching

You may upgrade or downgrade your plan at any time via the billing portal. Stripe automatically prorates the difference. The system prevents you from holding two active paid subscriptions simultaneously.

Free tier (HF Markets verification)

The Free Lifetime tier requires you to register a HF Markets trading account using our partner link, complete KYC, and fund the account with a minimum qualifying deposit. Free-tier access is contingent on the validity of that HFM account; if HFM closes your account, refunds your deposit, or charges back the deposit, we reserve the right to revoke Free-tier access. Each HFM account / email / legal name combination qualifies for one (1) Free-tier W-Pine AI account.

Fee changes

We may change subscription fees from time to time. Active subscribers will receive at least 30 days' advance notice by email before any price increase takes effect on their renewal.

7. Prohibited Activities

You may not access or use the Services for any purpose other than that for which we make them available. You agree not to:

• Systematically retrieve data or other content to create or compile a collection, database, or directory without our written permission.
• Trick, defraud, or mislead us or other users — including attempts to learn other users' passwords or session tokens.
• Circumvent, disable, or interfere with security-related features of the Services.
• Disparage, tarnish, or otherwise harm us or the Services.
• Use information obtained from the Services to harass, abuse, or harm another person.
• Make improper use of our support services or submit false abuse reports.
• Use the Services in violation of any applicable law or regulation, including securities, market-manipulation, or anti-money-laundering laws.
• Engage in unauthorized framing of or linking to the Services.
• Upload viruses, malware, Trojan horses, or any code designed to disrupt or impair the Services.
• Use any automated system (scripts, scrapers, bots) to access the Services beyond what a normal user would do.
• Delete the copyright or proprietary-rights notice from any Content.
• Impersonate another user or person, or use another user's account.
• Use cookies or web bugs not authorized by us to track other users.
• Interfere with, disrupt, or create undue burden on the Services, networks, or infrastructure.
• Harass, intimidate, or threaten any of our employees or agents.
• Decompile, disassemble, or reverse-engineer any of our software, except as permitted by applicable law.
• Use the Services in any effort to compete with us, or to develop a competing product.
• Resell or redistribute generated Pine Scripts as the primary product of a paid commercial offering.
• Sell or transfer your account or affiliate code to another party.
• Use the Services to advertise or solicit goods or services unrelated to W-Pine AI.

8. User Generated Contributions

The Services may invite you to chat, post messages, submit support tickets, or otherwise create content (collectively, "Contributions"). When you create or share a Contribution, you represent and warrant that:

• You have the rights, licenses, and consents necessary to share it.
• The Contribution does not violate any third party's intellectual property rights or right of privacy.
• The Contribution is not false, misleading, defamatory, harassing, threatening, or unlawful.
• The Contribution does not contain spam, malware, or unauthorized advertising.
• The Contribution does not violate any applicable law concerning child safety, hate speech, securities fraud, or market manipulation.

Violations may result in suspension or termination of your access to the Services.

9. Contribution License

By posting Contributions to the Services, you grant us a non-exclusive, transferable, sublicensable, royalty-free, worldwide license to use, host, store, copy, modify, distribute, publicly display, and create derivative works from your Contributions for the purpose of operating, improving, and promoting the Services. You retain ownership of your Contributions; this license terminates when you delete the Contribution from the Services, except to the extent we have already shared it with third parties or are required to retain it by law.

10. Third-Party Websites and Content

The Services may contain links to third-party websites (TradingView, HF Markets, Discord, Telegram, social media platforms) and may display content from third parties. We do not control, monitor, or endorse those websites or content, and we are not responsible for their accuracy, availability, or practices. Your interactions with third parties are governed by their own terms and policies. We are not liable for any loss or damage arising from your use of third-party sites or content.

11. Services Management

We reserve the right (but are not obligated) to: (1) monitor the Services for violations of these Terms; (2) take legal action against violators, including reporting them to law enforcement; (3) refuse, restrict, or disable access to any user's Contributions; (4) remove excessive or burdensome content; and (5) otherwise manage the Services to protect our rights and property and ensure proper functioning.

12. Privacy Policy

We care about data privacy and security. Please review our Privacy Policy. By using the Services, you agree to be bound by it. The Services are hosted in Japan and Singapore. If you access the Services from another jurisdiction, you consent to the transfer and processing of your data in those locations.

13. Copyright Infringements

We respect the intellectual property rights of others. If you believe any material on the Services infringes a copyright you own or control, please notify us at wpineai@gmail.com with: (1) a description of the copyrighted work; (2) the URL of the infringing material on our Services; (3) your contact information; (4) a statement that your complaint is made in good faith; and (5) a statement under penalty of perjury that the information is accurate and that you are authorized to act on behalf of the copyright owner.

14. Term and Termination

These Terms remain in effect while you use the Services. Without limitation, we reserve the right to deny access, suspend, or terminate any account at any time, in our sole discretion and without notice or liability, for breach of these Terms, breach of any applicable law, or fraudulent / abusive activity. We may delete any content you posted at any time. If we terminate your account, you may not register a new account under your own name, a fake name, or another person's name. We may also pursue all legal remedies available to us.

15. Modifications and Interruptions

We reserve the right to change, modify, or remove any part of the Services at any time, without notice. We have no obligation to update any information on the Services. We will not be liable to you or any third party for any modification, price change, suspension, or discontinuance of the Services.

We cannot guarantee uninterrupted availability. Hardware, software, or network problems may cause downtime. We have no liability for any loss or inconvenience caused by such interruptions.

16. Governing Law

These Terms are governed by and construed in accordance with the laws of Singapore. The courts of Singapore have exclusive jurisdiction over any dispute arising from or in connection with these Terms.

17. Dispute Resolution

Informal negotiations

Before formal proceedings, the parties agree to first try to negotiate any dispute informally for at least 30 days from the date a written notice is given.

Binding arbitration

Any dispute that cannot be resolved informally will be settled by binding arbitration in Singapore in accordance with the rules of the Singapore International Arbitration Centre (SIAC). The arbitration will be conducted by one arbitrator. The language of arbitration will be English. Each party will bear its own legal costs unless the arbitrator orders otherwise.

Class-action waiver

All claims must be brought individually, not as a class, consolidated, or representative action. Class arbitrations and class actions are not permitted.

Exceptions

The following disputes are exempt from arbitration: (a) intellectual-property disputes; (b) disputes involving allegations of theft, piracy, invasion of privacy, or unauthorized use; (c) injunctive-relief claims. Such disputes may be brought in the courts of Singapore.

18. Corrections

The Services may contain typographical errors, inaccuracies, or omissions, including in pricing, descriptions, or availability. We reserve the right to correct these and to update the Services at any time without prior notice.

19. Disclaimer

THE SERVICES ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE MAKE NO REPRESENTATIONS OR WARRANTIES ABOUT (1) THE ACCURACY OR COMPLETENESS OF AI-GENERATED CONTENT; (2) THE PROFITABILITY OF ANY GENERATED PINE SCRIPT OR INDICATOR; (3) UNINTERRUPTED AVAILABILITY OF THE SERVICES; (4) THE RELIABILITY OF ANY THIRD-PARTY WEBSITE LINKED FROM THE SERVICES.

NOTHING IN THE SERVICES CONSTITUTES INVESTMENT ADVICE, A SOLICITATION, OR A RECOMMENDATION TO BUY OR SELL ANY FINANCIAL INSTRUMENT. YOU ARE SOLELY RESPONSIBLE FOR YOUR TRADING DECISIONS.

20. Limitations of Liability

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES — INCLUDING LOST PROFITS, LOST REVENUE, OR LOSS OF DATA — ARISING FROM YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

NOTWITHSTANDING ANYTHING TO THE CONTRARY, OUR TOTAL LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER WILL AT ALL TIMES BE LIMITED TO THE LESSER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRIOR TO THE CAUSE OF ACTION ARISING OR (B) USD $100. CERTAIN JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES; IF SUCH LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE MAY NOT APPLY, AND YOU MAY HAVE ADDITIONAL RIGHTS.

21. Indemnification

You agree to defend, indemnify, and hold harmless W-Pine AI and its directors, employees, and agents from any loss, damage, liability, claim, or demand (including reasonable legal fees) arising from: (1) your Contributions; (2) your use of the Services; (3) breach of these Terms; (4) breach of your representations and warranties; (5) violation of any third party's rights, including intellectual property rights; (6) any harmful act toward another user.

22. User Data

We maintain certain data you transmit to the Services for the purpose of operating and improving them. We perform regular routine backups, but you remain solely responsible for all data you transmit, including any conversation history, uploaded files, or generated scripts. We are not liable for any loss or corruption of such data.

23. Electronic Communications and Signatures

Visiting the Services, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications and agree that all agreements, notices, and disclosures we provide electronically satisfy any legal requirement of writing. You consent to the use of electronic signatures, contracts, orders, and records.

24. California Users

If any complaint with us is not satisfactorily resolved, you can contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, California 95834, or by telephone at (800) 952-5210 or (916) 445-1254.

25. Miscellaneous

These Terms and any policies posted by us on the Services constitute the entire agreement between you and us. Our failure to exercise or enforce any right or provision is not a waiver. We may assign our rights and obligations to others at any time. We are not responsible for any loss or delay caused by events beyond our reasonable control. If any provision is determined to be unlawful or unenforceable, that provision is severable from these Terms and does not affect the validity of the remaining provisions. There is no joint venture, partnership, or agency relationship between you and us.
